I also have 97 and just went to check, the first bolt is ~1.75 inchs up from the bed and the 2nd is 12.5 inchs up from the bed. i have a spray on bedliner and those are the only 2 bolts i see holding it in. and yes they are at a 45 degree angle, so the driver side faces the passenger seat and vise versa. hope that helps
